Important: These Terms and Conditions constitute a legally binding agreement between you and Hey Axel Pty Ltd. By accessing or using Hey Axel, you agree to be bound by these Terms, our Privacy Policy, and our End User License Agreement (EULA).

1. Definitions and Interpretation

1.1 Definitions. In these Terms, unless the context otherwise requires:

  • "Hey Axel," "we," "us," "our" means Hey Axel Pty Ltd (ABN pending), a company incorporated in New South Wales, Australia, with contact email support@heyaxel.app.
  • "Service" means the Hey Axel software-as-a-service platform, including all features, functionalities, integrations, APIs, and related services accessible via https://heyaxel.app or associated mobile applications.
  • "User," "you," "your" means the individual or entity accessing or using the Service.
  • "Account" means your registered user account on the Service.
  • "Subscription Plan" means the pricing tier you select (Free, Pro, or Enterprise).
  • "Vehicle Data" means information about vehicles you add to the Service, including registration details, make, model, year, service records, odometer readings, and reminders.
  • "Ask Axel" means the AI-powered chat assistant feature within the Service.
  • "Third-Party Integrations" means external services connected to Hey Axel, including but not limited to telematics providers, government vehicle registration APIs, payment processors, authentication services, and database services.
  • "Australian Consumer Law (ACL)" means Schedule 2 to the Competition and Consumer Act 2010 (Cth).

2. Acceptance of Terms

2.1 Agreement to Terms. By creating an Account, accessing the Service, or using any part of Hey Axel, you confirm that:

  1. You have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our EULA;
  2. You are at least 18 years of age and have the legal capacity to enter into a binding contract;
  3. If you are accepting these Terms on behalf of a business, you have the authority to bind that entity to these Terms;
  4. You comply with all applicable laws in your jurisdiction, including but not limited to the Privacy Act 1988 (Cth), Australian Consumer Law, Spam Act 2003 (Cth), and Electronic Transactions Act 1999 (Cth).

2.2 Changes to Terms. We may modify these Terms at any time by posting an updated version on our website. Material changes will be notified via email or in-app notification at least 14 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

3. Description of Service

3.1 Service Overview. Hey Axel is a vehicle fleet management platform designed for tradies and small businesses. The Service provides:

  • Vehicle Management: Track vehicles, registration details, service history, and documents;
  • Reminders: Automated reminders for registration renewals, insurance expiry, service intervals, safety inspections, and custom events;
  • Ask Axel (AI Assistant): AI-powered chat interface for vehicle-related queries;
  • Integrations: Optional connections to telematics systems, government vehicle data APIs, and third-party services;
  • Analytics: Fleet health reports, cost tracking, and service analytics;
  • Multi-User Support: Team collaboration features (Pro and Enterprise plans).

3.2 Service Availability. We strive to provide 99.9% uptime but do not guarantee uninterrupted access. The Service may be unavailable during:

  • Scheduled maintenance (notified in advance where reasonably practicable);
  • Unscheduled maintenance or emergency repairs;
  • Third-party service disruptions (e.g., cloud infrastructure, database providers, AI service providers);
  • Force majeure events (see Section 18).

4. Account Registration and Eligibility

4.1 Account Creation. To use the Service, you must create an Account by providing:

  • A valid email address;
  • A secure password (or authentication via third-party providers such as Google/Microsoft);
  • Accurate business and contact information (for Pro and Enterprise users).

4.2 Eligibility. You may only use Hey Axel if you:

  • Are 18 years of age or older;
  • Are not prohibited from using the Service under Australian law or the laws of your jurisdiction;
  • Have not been previously banned from Hey Axel for violating these Terms.

4.3 Account Security. You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activity that occurs under your Account;
  • Notifying us immediately at support@heyaxel.app if you suspect unauthorized access.

4.4 Accurate Information. You must provide accurate, current, and complete information when creating your Account. Providing false information may result in suspension or termination of your Account.

5. Subscription Plans, Billing, and Payments

5.1 Subscription Tiers. Hey Axel offers the following Subscription Plans:

  • Free Plan: Up to 3 vehicles, basic reminders, limited AI usage. No payment required.
  • Pro Plan: Unlimited vehicles, advanced features, full AI access, team collaboration. Billed monthly or annually.
  • Enterprise Plan: Custom pricing, dedicated support, API access, white-label options. Contact sales for pricing.

5.2 Billing. Paid plans are billed in Australian Dollars (AUD) via third-party payment processors. By subscribing, you authorize Hey Axel and our payment processor to charge your payment method:

  • Monthly Plans: Billed on the same day each month;
  • Annual Plans: Billed once per year (with discounted rate).

5.3 Payment Failures. If payment fails:

  • We will attempt to charge your payment method up to 3 times over 10 days;
  • If all attempts fail, your Account will be downgraded to the Free Plan, and you may lose access to premium features;
  • You remain liable for unpaid fees.

5.4 Price Changes. We may change subscription prices with 30 days' notice. Changes apply to the next billing cycle. Existing subscribers may cancel before the new price takes effect.

5.5 Taxes. All prices exclude GST (Goods and Services Tax) unless otherwise stated. Australian users will be charged 10% GST where applicable.

5.6 Refunds. Refunds are provided at our sole discretion and only under the following circumstances:

  • Service unavailability exceeding 72 consecutive hours (pro-rata refund);
  • Duplicate charges or billing errors;
  • Cancellation within 14 days of initial subscription (first-time users only).

We do NOT provide refunds for:

  • Partial months or unused subscription time;
  • Voluntary cancellation mid-billing cycle;
  • Account suspension or termination for breach of these Terms.

5.7 Cancellation. You may cancel your subscription at any time via your Account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the billing period.

6. User Responsibilities and Acceptable Use

6.1 Accurate Data. You are responsible for:

  • Entering accurate Vehicle Data (registration numbers, service dates, odometer readings);
  • Verifying all vehicle information independently (see Section 10 for disclaimers);
  • Ensuring you have lawful authority to add vehicles to your Account (e.g., you own the vehicle or have owner consent).

6.2 Prohibited Activities. You agree NOT to:

  • Use the Service for any illegal purpose or in violation of Australian law;
  • Add vehicles you do not own or have permission to manage;
  • Reverse-engineer, decompile, or attempt to extract source code from the Service;
  • Scrape, spider, or use automated tools to access the Service without our written permission;
  • Upload malicious code, viruses, or harmful content;
  • Impersonate another user or entity;
  • Interfere with or disrupt the Service or its infrastructure;
  • Resell, sublicense, or distribute access to the Service without our written consent;
  • Violate the Privacy Act 1988 (Cth) or any other privacy law by misusing personal data;
  • Send spam or unsolicited communications via the Service.

6.3 Consequences of Breach. Violation of this Section may result in immediate suspension or termination of your Account without refund.

7. Intellectual Property

7.1 Our Ownership. Hey Axel owns all rights, title, and interest in the Service, including:

  • Software, source code, algorithms, and APIs;
  • Design, user interface, branding, logos, and trademarks;
  • Documentation, tutorials, and support materials;
  • Aggregated and anonymized usage data.

7.2 Your Data Ownership. You retain all rights to the data you upload to Hey Axel, including Vehicle Data, service records, and documents. By using the Service, you grant us a limited, non-exclusive, royalty-free license to:

  • Process and store your data to provide the Service;
  • Use aggregated and anonymized data for analytics, research, and Service improvement;
  • Share data with Third-Party Integrations as necessary to deliver features (e.g., telematics sync, government API lookups).

7.3 Anonymized Data. We may aggregate and anonymize Vehicle Data for industry benchmarks, research, and product development. Anonymized data does not identify you or your vehicles.

7.4 Feedback. If you provide feedback, suggestions, or ideas, we may use them without obligation or compensation to you.

8. Third-Party Integrations

8.1 Telematics Integration. If you connect a third-party telematics account:

  • You authorize Hey Axel to access telematics data on your behalf;
  • The telematics provider's terms of service apply to your use of their service;
  • We are not responsible for telematics service interruptions, data accuracy issues, or pricing changes;
  • You may disconnect the telematics integration at any time via Account settings.

8.2 Government Vehicle Data APIs. Hey Axel may use third-party APIs to retrieve vehicle registration data from Australian government databases (via authorised NEVDIS brokers). By using rego lookup features:

  • You acknowledge that data is sourced from third parties and may be incomplete, outdated, or inaccurate;
  • We are NOT responsible for errors in government-provided data (see Section 10);
  • Data usage complies with the Privacy Act 1988 (Cth) and relevant state road transport legislation.

8.3 Payment Processor. Payments are processed by third-party payment processors. Their terms apply to all payment transactions. We do not store your full credit card details.

8.4 Authentication Services. User authentication is managed by third-party authentication services. Their terms apply to identity verification and account access. We do not store your passwords.

8.5 Cloud Infrastructure. Data is stored using third-party cloud database and hosting services. Data is encrypted at rest and in transit.

8.6 AI Service Providers. Ask Axel uses third-party AI services. Their terms apply to AI-generated content. Your prompts and vehicle data may be sent to AI service providers for processing (see Privacy Policy).

8.7 No Endorsement. Integration with third-party services does not imply endorsement by Hey Axel. We are not liable for third-party actions, errors, or breaches.

9. AI-Generated Content Disclaimer

9.1 Ask Axel is Not Professional Advice. Ask Axel provides informational responses powered by artificial intelligence. These responses are:

  • Not professional advice: Not a substitute for qualified mechanics, auto electricians, insurance advisers, or legal professionals;
  • Not guaranteed accurate: AI may generate incorrect, incomplete, or outdated information;
  • Not liability-free: We are NOT liable for reliance on AI-generated responses.

9.2 User Responsibility. You must:

  • Verify all AI-generated advice with qualified professionals;
  • Use your own judgment when making decisions based on Ask Axel responses;
  • Not rely on Ask Axel for safety-critical decisions (e.g., brake failure diagnosis).

9.3 AI Limitations. AI models may:

  • Generate plausible-sounding but incorrect information ("hallucinations");
  • Be trained on outdated or incomplete data;
  • Misinterpret your queries or provide irrelevant responses.

10. Vehicle Data Accuracy Disclaimer (CRITICAL)

10.1 No Guarantee of Accuracy. Hey Axel sources vehicle registration data from third-party providers and government databases (via authorised APIs). While we strive for accuracy, we do NOT guarantee that Vehicle Data (including make, model, year, registration status, expiry dates, or odometer readings) is:

  • Current;
  • Complete;
  • Accurate;
  • Fit for any particular purpose.

10.2 No Liability for Inaccurate Data. Hey Axel is NOT responsible for, and you release us from all liability arising from:

  • Incorrect Vehicle Data: Wrong make/model/year/colour from third-party APIs;
  • Expired Registration: Fines, penalties, or vehicle impoundment due to incorrect rego expiry dates;
  • Missed Service Reminders: Engine damage, warranty voidance, or accidents resulting from missed maintenance;
  • CTP Insurance Lapses: Driving uninsured due to incorrect insurance expiry dates;
  • Incorrect Odometer Readings: Service interval miscalculations or resale value disputes;
  • Data from Telematics or Other Integrations: Errors in telematics data, GPS tracking, or fuel consumption;
  • Any Mechanical Failure or Accident: Resulting from reliance on Hey Axel data or reminders.

10.3 User Verification Required. You must independently verify:

  • Registration expiry dates (check your state transport authority);
  • Insurance expiry dates (check your insurer);
  • Service intervals (refer to your vehicle's owner's manual);
  • Safety inspection due dates (check your state regulations);
  • Odometer readings (physically check your vehicle).

10.4 Reminders are Convenience Only. Hey Axel reminders are provided as a courtesy and are NOT a substitute for your own due diligence. We are NOT liable if:

  • Reminders fail to send due to email delivery issues, system outages, or user misconfiguration;
  • Reminder dates are incorrect due to user input errors or third-party data issues;
  • You do not receive reminders due to spam filters or incorrect contact details.

11. Limitation of Liability (MAXIMUM PROTECTION)

11.1 Exclusion of Liability. To the maximum extent permitted by Australian law:

  • Hey Axel is provided "AS IS" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement;
  • We do NOT warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or harmful components;
  • We do NOT warrant the accuracy, reliability, or completeness of any data provided through the Service.

11.2 Liability Cap. Our maximum aggregate liability to you for any claim arising out of or related to these Terms or your use of the Service (whether in contract, tort, negligence, or otherwise) is limited to the lesser of:

  • The total subscription fees you paid to Hey Axel in the 12 months preceding the claim; OR
  • AUD $500.

11.3 Exclusion of Consequential Damages. We are NOT liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities;
  • Loss of data or Vehicle Data;
  • Fines or penalties (e.g., traffic fines for expired rego);
  • Vehicle repair costs or towing fees;
  • Personal injury or property damage;
  • Reputational harm;
  • Costs of substitute goods or services.

11.4 Australian Consumer Law Savings. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law (ACL) or other applicable law that cannot be lawfully excluded. If the ACL applies and we breach a consumer guarantee:

  • Our liability is limited (at our option) to resupplying the Service or paying the cost of resupplying the Service;
  • For services not of a kind ordinarily acquired for personal, domestic, or household use, our liability is limited to AUD $500 or the amount you paid for the Service in the preceding 12 months, whichever is lesser.

12. Indemnification

12.1 Your Indemnity. You agree to indemnify, defend, and hold harmless Hey Axel, its directors, officers, employees, contractors, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising out of or related to:

  • Your use of the Service;
  • Your breach of these Terms;
  • Your violation of any law or third-party rights;
  • Your Vehicle Data or any content you upload;
  • Your reliance on AI-generated content or inaccurate Vehicle Data;
  • Any accident, injury, fine, or damage resulting from your use of Hey Axel.

13. Privacy and Data Protection

13.1 Privacy Policy. Our Privacy Policy explains how we collect, use, store, and disclose your personal information. By using Hey Axel, you consent to our data practices as described in the Privacy Policy.

13.2 Privacy Act Compliance. We comply with the Privacy Act 1988 (Cth) and the 13 Australian Privacy Principles (APPs).

13.3 Notifiable Data Breaches. In the event of a data breach likely to result in serious harm, we will notify affected users and the Office of the Australian Information Commissioner (OAIC) as required under the Notifiable Data Breaches (NDB) scheme.

13.4 Your Rights. You have the right to:

  • Access your personal information (via Account settings or by emailing support@heyaxel.app);
  • Correct inaccurate information;
  • Request deletion of your Account and data (subject to legal retention requirements);
  • Lodge a complaint with the OAIC: https://www.oaic.gov.au/

14. Termination

14.1 Termination by You. You may terminate your Account at any time by:

  • Cancelling your subscription via Account settings; OR
  • Emailing support@heyaxel.app to request Account deletion.

Termination takes effect at the end of the current billing period (for paid plans) or immediately (for Free plans).

14.2 Termination by Us. We may suspend or terminate your Account immediately without notice or refund if you:

  • Breach these Terms;
  • Engage in prohibited activities (Section 6.2);
  • Fail to pay subscription fees after multiple attempts;
  • Pose a security risk to the Service or other users;
  • Are subject to a court order requiring termination.

14.3 Effect of Termination. Upon termination:

  • Your access to the Service will cease;
  • Your data will be deleted within 30 days (unless legal retention is required);
  • You remain liable for any unpaid fees;
  • Sections 7, 9, 10, 11, 12, 15, 16, and 17 survive termination.

15. Dispute Resolution and Governing Law

15.1 Governing Law. These Terms are governed by the laws of New South Wales, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales.

15.2 Dispute Resolution. Before commencing legal proceedings, you agree to:

  1. Notify us in writing of the dispute (support@heyaxel.app);
  2. Attempt to resolve the dispute informally within 30 days;
  3. If unresolved, consider mediation via the Australian Disputes Centre (ADC) or similar organisation.

15.3 Class Action Waiver. You agree to resolve disputes on an individual basis and waive any right to participate in class actions, representative proceedings, or multi-party arbitrations (to the extent permitted by law).

16. Force Majeure

16.1 Excusable Delays. We are not liable for failure to perform our obligations if caused by events beyond our reasonable control, including:

  • Natural disasters (fires, floods, earthquakes);
  • Pandemics or public health emergencies;
  • Acts of war, terrorism, or civil unrest;
  • Internet or telecommunications failures;
  • Third-party service outages (cloud infrastructure, database services, AI providers);
  • Government actions, strikes, or labour disputes.

17. General Provisions

17.1 Entire Agreement. These Terms, together with our Privacy Policy and EULA, constitute the entire agreement between you and Hey Axel and supersede all prior agreements or understandings.

17.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

17.3 Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

17.4 Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms to any successor or affiliate.

17.5 Notices. All notices to Hey Axel must be sent to support@heyaxel.app. Notices to you will be sent to the email address on your Account.

17.6 Language. These Terms are drafted in English. Any translation is for convenience only. In case of conflict, the English version prevails.
